The following terms and conditions govern all use of the logisitical.com website and platform, and all content, services and products available at or through the platform (collectively, "Platform"). The Platform is owned and operated by Logisitical Solutions . By accessing or using any part of the Platform, you agree to become bound by these terms and conditions.

1. Definitions

• Platform: Logisitical Solutions logistics automation platform, including logisitical.com, portal.logisitical.com, mobile applications, APIs, and all related services
• Content: Information, analytics, reports, dashboards, features, functionality, automation tools, and logistics data provided through the Platform
• Logisitical: Logisitical Solutions and all subsidiary companies
• You/Customer: The individual or entity using the Platform and agreeing to these terms

2. Platform Usage

The Logisitical Platform is provided solely for the use of current and potential Logisitical customers to automate and optimize their logistics operations. The Platform may not be used by any other person or entity, or for any other purpose.

Specifically, all shipping analytics, cost optimization tools, carrier management features, and automation services may only be used by authorized customers to manage their own logistics operations. Unless specifically authorized by Logisitical, use of the Platform to provide information to or for the benefit of competitors or unauthorized third parties is expressly prohibited.

3. Account Registration and Security

To access the Logisitical Platform, you must register for an account and provide accurate, current information. You agree to:

• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Maintain the confidentiality of your login credentials
• Immediately notify Logisitical of any unauthorized access to your account
• Be responsible for all activities that occur under your account
• Ensure proper logout from your session after each use

4. Services Provided

Logisitical Solutions provides the following logistics automation services:

• Automated shipping and carrier management
• Real-time logistics analytics and reporting
• Cost optimization and route planning
• Multi-carrier shipping platform integration
• Tracking and visibility tools
• API access for system integrations
• Workflow automation and business rules
• Performance monitoring and alerts

5. Customer Responsibilities

As a customer, you agree to:

• Provide accurate shipment and business data
• Ensure all shipments comply with applicable laws and regulations
• Use the Platform in accordance with these terms and applicable laws
• Pay all subscription fees and charges according to agreed terms
• Maintain appropriate data backup and security practices
• Notify Logisitical immediately of any platform issues or security concerns
• Comply with carrier requirements and shipping regulations

6. Pricing and Payment

• Subscription fees are based on your selected plan and usage tier
• Payment is due according to your subscription billing cycle
• Late payments may result in service suspension and additional charges
• We reserve the right to modify pricing with 30 days notice
• Additional charges may apply for premium features or overage usage
• Refunds are provided according to our refund policy

7. Intellectual Property

This Agreement does not transfer from Logisitical to you any Logisitical or third-party intellectual property. All rights, title, and interest in and to such property will remain solely with Logisitical. The Logisitical name, logo, platform features, and all other trademarks used in connection with the Platform are trademarks or registered trademarks of Logisitical or our licensors.

8. Service Availability and Changes

Logisitical may discontinue, suspend, or modify the Platform at any time with reasonable notice. We may block, terminate, or suspend your access to the Platform for violation of these terms or for any other reason at our sole discretion.

9. Disclaimer of Warranty

THE PLATFORM AND ITS CONTENT ARE PROVIDED "AS IS". LOGISTICAL AND ITS LICENSORS DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Logisitical does not warrant that the Platform will meet all requirements or that its operation will be uninterrupted or error-free. No oral or written information given by Logisitical shall create a warranty.

10. Limitation of Liability

USE OF THE PLATFORM IS AT YOUR SOLE RISK. LOGISTICAL WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES UNDER ANY THEORY OF LAW FOR ANY ERRORS IN OR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS.

11. Governing Law

This Agreement and your use of the Logisitical Platform is governed by the laws of the United States and the State of Delaware. Any disputes must be resolved through binding arbitration or in courts within Delaware jurisdiction.
